ADNOC Distribution to Acquire Shell’s South African Downstream Business in US$1 Billion Deal

ADNOC Distribution has agreed to acquire Shell Downstream South Africa in a deal with an implied enterprise value of approximately US$1 billion, marking the company's largest international acquisition to date. The transaction includes 580 fuel stations, as well as wholesale fuel, aviation fuel, and lubricants operations, and represents a major step in ADNOC Distribution’s expansion beyond the Gulf region. The acquisition will increase ADNOC Distribution’s network by roughly 55% to around 1,600 locations while boosting fuel sales volumes by about 20%. South Africa will become the company’s fourth operating market after the United Arab Emirates, Saudi Arabia, and Egypt, supporting its ambition to become a global fuel retail and convenience store operator. CEO Bader Saeed Al Lamki said the company remains focused on growth, identifying Africa and Southeast Asia as key regions for future expansion.

SpaceX’s Nasdaq-100 Entry Expected to Drive Billions in Passive Buying

Shares of SpaceX are expected to attract billions of dollars in passive investment flows as the company joins the Nasdaq-100 on Tuesday. The inclusion comes as brokerage firms initiate coverage of the more than US$2 trillion aerospace and satellite company with broadly bullish outlooks. Despite the positive sentiment, SpaceX shares were down 1.2% in premarket trading. SpaceX is being added to the Nasdaq-100 just 15 days after its stock market debut on June 12, making it one of the fastest additions to the benchmark index following revised Nasdaq eligibility rules for newly listed companies. Its inclusion is expected to generate significant demand from index funds and exchange-traded funds (ETFs) that track the Nasdaq-100, as they rebalance their portfolios to reflect the new index composition. Active fund managers that closely benchmark the index may also adjust their holdings, providing an additional source of buying interest for the stock.
